HydroGraph Clean Power has upsized its previously announced bought-deal public offering to gross proceeds of approximately US$44.1 million (C$61.2 million), up from an initially announced US$36 million (C$50 million), following strong investor demand. 

The offering is expected to close on or about August 25, 2026, subject to customary closing conditions and regulatory approvals, including from the Canadian Securities Exchange. HydroGraph said net proceeds will go toward business development activities, expansion of its American facilities, working capital, and general corporate purposes.

HydroGraph Clean Power has issued an update on its federal government and aerospace and defense activities, using it to urge US policymakers to formally designate graphene as a critical material and to argue that domestic graphene production could reduce the defense industrial base's exposure to foreign-controlled graphite supplies.

The company's argument rests on feedstock. The vast majority of graphene produced today is derived from graphite, and roughly 80% of global graphite supply is sourced from China - supply that is currently scheduled to become subject to export licensing restrictions in November 2026, unless the present temporary suspension of those regulations is extended. HydroGraph's position is that its own process sidesteps that exposure entirely. The company produces graphene from US-sourced hydrocarbon gases rather than mined graphite, which it presents as a fully domestic pathway to the material. 

HydroGraph Clean Power has announced that its U.S. subsidiary, HydroGraph USA Inc., has executed definitive agreements with Western International Gas & Cylinders, Inc. (“Western International”) to secure a long-term supply of acetylene gas and lease land for HydroGraph’s first large-scale U.S. graphene production facility, to be located in Bellville, Texas.

Under the Acetylene Purchase Agreement, HydroGraph USA will purchase acetylene for its Bellville, TX facility directly from Western International via pipeline for an initial ten-year term, with options for renewal. Acetylene serves as the primary feedstock for HydroGraph’s proprietary Hyperion Reactors, which convert hydrocarbon feedstocks into ultra-pure synthetic Fractal Graphene™ products through a highly efficient continuous manufacturing process Contemporaneously, the parties entered into a Ground Lease Agreement granting HydroGraph USA a long-term lease for land located at Western International’s Bellville, Texas facility. The site will host HydroGraph’s new commercial-scale graphene manufacturing facility, which will be constructed, owned, and operated by HydroGraph USA.

HydroGraph Clean Power has announced the commercial launch of Fractal Graphene Paste™, a highly concentrated, pre-dispersed aqueous graphene product designed to simplify integration of graphene into industrial formulations and accelerate commercialization across multiple end markets.

Fractal Graphene Paste™ delivers HydroGraph’s high-purity Fractal Graphene™ in a stable, ready-to-use dispersion, eliminating the need for customers to overcome one of the most significant technical challenges associated with graphene adoption: achieving effective dispersion.

HydroGraph Clean Power has announced the opening of its new Austin headquarters, having received its certificate of occupancy in March 2026. The new facility centralizes key executive and operating functions, as well as expands the Company’s research and production capabilities in support of continued growth activities.

Sparc Technologies has entered into a Letter of Intent (LOI) with HydroGraph Clean Power to evaluate the use of HydroGraph’s Fractal Graphene in Sparc’s ecosparc® additives for protective coatings.

The LOI follows successful testing undertaken by Sparc incorporating HydroGraph’s Fractal Graphene within commercial water-based coating systems, which demonstrated positive performance benefits. Following execution of the LOI, Sparc will undertake ISO 12944 cyclic corrosion testing (4,200 hours) within commercially available solvent-based coatings. ISO 12944 is widely recognized as the premier international standard for assessing the corrosion protection of steel structures by protective coating systems. Subject to successful testing outcomes, the parties intend to negotiate a definitive commercial supply and collaboration agreement relating to Sparc’s ecosparc® additives.

HydroGraph Clean Power has announced that it received key regulatory clearances: a US EPA TSCA Section 5(e) Order (PMN P-24-0086/P-24-0087) plus confirmed UK REACH and EU REACH registrations (UK-01-8788107436-0-0006; 01-2120768618-38-0012). These approvals authorize commercial manufacture, supply, and defined uses of HydroGraph's graphene materials across the US, UK, and EU, enabling customer scale-up under specified compliance conditions.

The EPA order includes operational controls, workplace protections, and recordkeeping requirements; the REACH registrations provide regulatory clarity for UK and EU commercial activity and market expansion.

HydroGraph Clean Power has announced that it has started construction of two additional Hyperion graphene reactors, supporting the Company’s planned scale-up of graphene production capacity.

Each Hyperion reactor has an expected production capacity of approximately 10 tons per year of HydroGraph’s FGA-1 fractal graphene using the Company’s proprietary explosion-synthesis process. These reactors will have the same physical footprint as HydroGraph’s existing commercial unit, measuring approximately 6 feet by 6 feet by 18 feet.

Last month, HydroGraph Clean Power announced a strategic relationship and plans for a new Texas production facility. Now, the company has shared further updates on its U.S. expansion with the signing of a lease for a new 20,000-square-foot headquarters in Austin, Texas.

This facility—located at 2101 East St. Elmo Road—will nearly double the company’s previous operational space and is slated to be fully operational by February 2026. The Austin headquarters will serve as HydroGraph’s central hub for both production and commercialization activities across the United States.

Graphene manufacturer HydroGraph Clean Power has announced two growth milestones: a strategic relationship with a leading North American industrial gas supplier and the initiation of the first stages of planning for a new production facility in Texas. These developments, according to the company, mark a significant inflection point in HydroGraph’s expansion strategy.

Under the newly signed letter of intent, the gas supplier is expected to provide HydroGraph with access to its high-purity acetylene—a critical feedstock for the Company’s patented detonation synthesis process. This continuous, high-quality supply enables increased production volumes without compromising HydroGraph’s product consistency.
